End-User License Agreement ("Agreement")

Please read this End-User License Agreement ("Agreement") carefully before downloading, installing, or using ROIPOS ("Application").
By downloading, installing, or using the Application, you agree to be bound by the terms and conditions of this Agreement.
If you do not agree to the terms of this Agreement, do not download, install, or use the Application.
License
Bodellie Corporation grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the Application solely for your personal or commercial purposes strictly in accordance with the terms of this Agreement.
Restrictions
You agree not to, and you will not permit others to:
a) license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Application or make the Application available to any third party.
b) modify this product in any manner. You shall not, nor allow others to copy, in whole or in part, emulate, sub-license, sell, transfer, exploit, alter, modify or adapt the Software Product nor decompile, disassemble or reverse engineer the same nor attempt to do such thing.
Modifications to Application
Bodellie Corporation reserves the right to modify, suspend or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to you.
Term and Termination
This Agreement shall remain in effect until terminated by you or Bodellie Corporation
Bodellie Corporation may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
This Agreement will terminate immediately, without prior notice from Bodellie Corporation, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by uninstalling the Application and deleting all copies thereof from your computer.
Upon termination of this Agreement, you shall cease all use of the Application and delete all copies of the Application from your computer.
No Warranty
THE PROGRAM IS PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely responsible for determining the appropriateness of using and distributing the Program and assumes all risks associated with its exercise of rights under this Agreement, including but not limited to the risks and costs of program errors, compliance with applicable laws, damage to or loss of data, programs or equipment, and unavailability or interruption of operations.
Disclaimer of Liability
BODELLIE CORP. SHALL NOT HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Third-Party Software Notices
The Application incorporates open-source libraries, Microsoft runtime components, and third-party vendor components (including the Intuit QuickBooks SDK and Datacap Systems payment-processing components). A complete list of those components together with their respective copyright and license notices is provided with the Application’s installer and displayed at the license-acceptance step during installation. Severability
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Amendments to this Agreement
Bodellie Corporation reserves the right, at its sole discretion, to modify or replace this Agreement at any time. What constitutes a material change will be determined at our sole discretion. Your continued use of the Application after any such change constitutes your acceptance of the revised Agreement.
Third-Party Services
The Application may allow you to connect to and exchange data with third-party services, including but not limited to Intuit QuickBooks Online, Intuit QuickBooks Desktop, shipping carriers, and payment processors. Any use of such third-party services is governed by that third party’s own terms of service and privacy policy, not by this Agreement. Bodellie Corporation is not responsible for the availability, accuracy, content, or practices of any third-party service.

Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law provisions. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Pasco County, Florida, and each party consents to the personal jurisdiction and venue of such courts.
Assignment
You may not assign or transfer this Agreement, or any of your rights or obligations under it, without the prior written consent of Bodellie Corporation Bodellie Corporation may assign this Agreement, in whole or in part, at any time without your consent, including in connection with a merger, acquisition, or sale of assets. Any attempted assignment in violation of this section is void.
Entire Agreement
This Agreement, together with any documents expressly incorporated by reference, constitutes the entire agreement between you and Bodellie Corporation concerning the Application and supersedes any prior or contemporaneous agreements, communications, or understandings, whether written or oral, relating to its subject matter.
